Salter Brothers has several dedicated investment funds focused on investing in various asset classes, including unlisted and listed operating companies.
The mandate for each fund varies, but each gives access to high-quality assets that have been subjected to a detailed due diligence process and submitted to an experienced Investment Committee prior to investment.

Private Equity Fund

The Private Equity Fund* provides investors with access to investment opportunities in high growth Australian private companies, requiring expansion or growth capital.

The Fund’s investment strategy is to invest exclusively in small to mid-market growth companies with investments made via equity and/or convertible equity instruments. Investments are in established businesses with:

  • growing revenues.
  • high operating cash flows, and
  • EBITDA of up to $A15 million.

This represents numerous successful Australian companies that require capital for various stages including:

  • Product and/or service growth;
  • Domestic and/or international expansion; and
  • Recapitalisation of balance sheet.

The Private Equity Fund is a registered Venture Capital Limited Partnership Fund (“VCLP”).

Most Australian VCLP ‘s focus their mandates across seed, angel and early stage funding, making many smaller type of investments ($50-500k) across numerous start-ups, exposing the VCLP to a greater degree of risk, as they rely on substantial returns from one company to offset the losses in others.

In contrast the Private Equity Fund focuses on high growth Australian private companies, requiring expansion or growth capital.

The Private Equity Fund seeks to partner with such businesses through acquiring a significant, but not necessarily a controlling stake, and work with management to drive value in our investments.

Growth Fund

Salter Brothers Growth Fund is a growth private equity fund that invests in technology enabled companies seeking either Series A, Series B, Expansion or Growth Capital and is undertaking a capital raise to raise $50m+. The five sectors of focus are MedTech, SaaS or PaaS, FinTech, PropTech and Tech-enabled Telecommunication.

Salter Brothers Growth Fund targets investments in the Late Stage and/or Growth Capital segments (no seed, angel or early stage investments). With a concentrated portfolio the investment and advisory team, as engaged investors, offer financial, strategic advice and operational insights to each portfolio company. Investment terms seek strong shareholder protections and board representation for each investment. The growth fund aims to achieve a pre-tax net IRR of 15% and 2-3x gross money multiple.

SB2 emerging companies

Salter Brothers Emerging Companies Ltd (SB2)

The Emerging Companies Fund invests in ASX listed companies with a market capitalisation up to $500 million, aiming to provide a return that exceeds the S&P/ASX Small Ordinaries Accumulation Index.

Established microcap businesses in: IT, software, funds management, tourism/leisure, fin tech platforms, rural and food, infrastructure, science and health care sectors.

Special Situation Fund

The Special Situation Fund* provides investors with exposures that encompass investments in distressed, complex, or under-appreciated assets in event driven, contrarian, or broader market dislocation investment opportunities.

The Fund’s investment mandate allows it to focus on different levels of the capital structure to capture company specific opportunities to maximize risk-adjusted returns.

Investment universe:

  • Specialist Property related investments (aged care, health, tourism, medical, hotel or child care), and
  • Listed and unlisted investments (market capitalisation of $25 million to $1 billion).
    Investment mandate will focus on supporting companies via corporate transactions, strategic/operational advice as well as capital markets assistance.

* The Special Situation Fund is an Australian resident open-ended unit trust, operating under applicable Australian laws and regulations.

Investment may be via ordinary and preferred equity, options, warrants, convertible and other hybrid instruments, as well as instruments having debt characteristics including taking security over underlying assets.
